Ned N. Fleming, III

Executive Chairman of the Board

Ned N. Fleming, III has served as Executive Chairman of the Suncrete Board since 2026. Mr. Fleming is a Founding Partner of SunTx Capital Partners, a Dallas based middle-market Private Equity firm focused on investments in the Sunbelt. He serves as Executive Chairman of Construction Partners Inc. (NASDAQ: ROAD, “CPI”) as well as Chair of the Compensation Committee and Governance Committee for CPI. Over the past 23 years, Mr. Fleming has worked closely with the Board and Executive Management Team to take CPI from a small asphalt company in Alabama, to a publicly traded company operating in eight Sunbelt states; one of the fastest-growing civil infrastructure companies in the United States. Most recently, Mr. Fleming serves as the Executive Chairman of Suncrete, a scalable ready-mix concrete logistics and distribution platform operating primarily in the U.S. Sunbelt, leveraging high-quality plants and technology-enabled fleet to serve infrastructure, commercial and residential markets.

Prior to SunTx, Mr. Fleming served as President and Chief Operating Officer of Spinnaker Industries, a publicly traded materials manufacturing company, until its sale in 1999. During his tenure, the company transformed from a small regional manufacturing business into a publicly traded acquisition platform with a national footprint.

Previously, Mr. Fleming worked at a Dallas-based private investment firm where he led acquisitions in the food and beverage and defense industries. Prior to that, Mr. Fleming was a Consultant for The Boston Consulting Group, and worked for Fleming Companies. Mr. Fleming holds an MBA with distinction from Harvard Business School and a bachelor’s degree in political science from Stanford University.

Christopher Bradley

Director

Christopher Bradley has served as a director of Suncrete since 2026. Mr. Bradley is a Managing Director at Mistral Equity Partners. Prior to joining Mistral in 2008, Mr. Bradley was with the Mergers and Acquisitions Group at Banc of America Securities, and a Manager in the Strategy Group at Burger King, where he worked on the successful turn-around of that company. He was also a strategy consultant in the Consumer and Retail Group of PricewaterhouseCoopers. Mr. Bradley currently serves on the Board of Directors of Carnegie Park Capital and Roth CH Acquisition Co. (NASDAQ:USCT). He formerly served on the Board of Directors of Lovesac (NASDAQ:LOVE), Jamba Juice, Worldwise, Country Pure Foods, and Creminelli Fine Meats, amongst others.

Mr. Bradley serves as the CEO, Executive Chairman, and CFO of Haymaker Acquisition Corp. 4, where he leads all aspects of the M&A process, including thematic and specific target identification, all aspects of Haymaker’s extensive diligence process, valuation and terms negotiation, all deal execution steps, and investor relations. He also served as the CFO at Haymaker Acquisition Corp. I, II, and III. Mr. Bradley received his MBA from the Harvard Business School and his BA from the University of Chicago, where he serves as a board member of the Arts and Humanities Council.

Randall Edgar

Chief Executive Officer

Randall Edgar serves as the Chief Executive Officer of Suncrete and as a member of the Board of Directors. Mr. Edgar has served as the Chief Executive Officer of Suncrete since its original founding as Eagle Redi-Mix Concrete, LLC in 2008. He brings over 30 years of experience in the concrete industry plus additional experience in the accounting industry. Prior to founding Eagle Redi-Mix Concrete, LLC in 2008, Mr. Edgar joined Mexican cement producer Grupo Cementos de Chihuahua (“GCC”) in 2006 as President after GCC acquired his previous company Mid-Continent Concrete, where he had served as Vice President. Prior to entering the concrete industry, he was a Certified Public Accountant at KPMG. Mr. Edgar earned a Bachelor of Science in Business Administration in Accounting from the University of Tulsa.

Andrew R. Heyer

Director

Andrew R. Heyer has served as a director of Suncrete since 2026. Mr. Heyer is the Chief Executive Officer and a Managing Director of Mistral Equity Partners. Prior to founding Mistral, Mr. Heyer served as a Founding Managing Partner of Trimaran Capital Partners. Formally, Mr. Heyer was Vice Chairman of CIBC World Markets Corp. and a Co-Head of the CIBC Argosy Merchant Banking Funds. Prior to joining CIBC World Markets Corp. in 1995, Mr. Heyer was a Founder and Managing Director of The Argosy Group L.P. Before Argosy, Mr. Heyer was a Managing Director at Drexel Burnham Lambert Incorporated, and previous to that, he worked at Shearson/American Express.

Mr. Heyer currently serves on the Board of Directors of OneSpaWorld Holdings (NASDAQ:OSW), Arko (NASDAQ:ARKO), Biote (NASDAQ:BTMD), and Lovesac (NASDAQ:LOVE). Mr. Heyer also serves as the Vice President of Haymaker Acquisition Corp. 4, and served as the President and as a Director of Haymaker Acquisition Corp. I, II, and III.

Mr. Heyer received his B.Sc. and M.B.A. from the Wharton School of the University of Pennsylvania, graduating magna cum laude. Mr. Heyer currently serves as a Member of the Executive Committee and Board of Trustees of the University of Pennsylvania and the University of Pennsylvania Health System.

William Holden

Director

William Holden has served as a director of Suncrete since 2026. Mr. Holden has over 30 years of construction materials experience in aggregates, ready-mix, masonry products and building materials. Mr. Holden currently serves as the chair of the board of directors at CarbonCure Technologies, where he previously served as chair of CarbonCure’s Industry Advisory Council until July 2025. He also currently serves as a board member of The Concrete Industry Management Program. He previously served as the President of Block USA, one of the leading concrete masonry producers in the country from January 2002 to June 2011, and as Vice President and later President of Couch USA, a major producer of ready-mix, block and building materials serving the southeast U.S from 1989 to 2000. Additionally, Mr. Holden was formerly Chairman of the Board of the National Concrete Masonry Association (NCMA) and Alabama Concrete Industries Association, and Chairman of the NCMA’s Long Range Planning Committee. Mr. Holden earned his Bachelor of Science in Business Administration from Oglethorpe University.

Bretton Johnston

Director

Bretton Johnston has served as a director of Suncrete since 2026. Mr. Johnston is currently the President and founder of Maverick Special Investments, Inc. (“Maverick”), where he has supported businesses across industries, particularly those involving physical assets, infrastructure, and development since October 1999. Prior to founding Maverick, Mr. Johnston was Vice President and General Manager of the Texas Midwest Division for Arvida Company, a residential and commercial development firm formerly owned by The Walt Disney Company from January 1988 to November 1996. He also previously served as Chief Executive Officer of The Cliffs Communities, a collection of luxury residential golf communities, and Chief Executive Officer of London Broadcasting Company, a Texas-based television broadcasting company. Mr. Johnston currently serves as chairman of the board of directors for Epoch Solutions Group LLC, a company focused on geospatial software solutions for utilities and infrastructure operators. He is also a board member of Blackberry Patch, Inc., a specialty foods company and previously served as a board member of Big Outdoor Holdings LLC, a national outdoor advertising firm. Mr. Johnston has also contributed to academic and professional development initiatives through his past service on the Texas A&M Master of Land and Property Development Advisory Board, and he earned a Bachelor of Science degree from the University of Texas at Austin.

David Rees-Jones

Director

David Rees-Jones has served as a director of Suncrete since 2026. He also serves as President of Rees-Jones Holdings, where he oversees acquisitions, investments, and strategic direction across its portfolio, including Chief Energy, Chief Energy Partners, and DGRJ Ventures.

Mr. Rees-Jones is a Partner at Haywood Lane, an investment firm focused on acquiring, building, and operating businesses with a long-term orientation. He also serves on the board of Pine Wave Energy Partners, an exploration and production company focused on the Haynesville Shale. Earlier in his career, he spent over a decade in the energy sector, specializing in mineral and non-operated asset acquisitions.

Mr. Rees-Jones serves on the board of the Rees-Jones Foundation and is active in nonprofit initiatives across North Texas. He holds a B.B.A. in Finance from Texas Christian University.

Mark R. Matteson

Director

Mark Matteson has served as a director of Suncrete since 2026. Mr. Matteson is also a Founding Partner of SunTx Capital Partners and serves on the board of multiple portfolio companies, including Construction Partners, Inc. (NASDAQ: ROAD, “CPI”).

Prior to co-founding SunTx, Mr. Matteson was Vice President of Corporate Development at Spinnaker Industries, a publicly traded materials manufacturing company, until its sale in 1999. Prior to that, Mr. Matteson worked as a manager at a manufacturing consulting firm that is now part of Accenture. Mr. Matteson currently serves on the Board of Directors of Suncrete, Inc.

Mr. Matteson earned a BA from The Pennsylvania State University and an MBA from Georgetown University.
